BY LAWS

 

Article 1~Name  

  The name of the association will be: Rio Grande Valley Cross Country Coaches Association (RGVCCCA) 

 

Article 2~Purpose

 The purpose of the Corporation shall be to educate and promote the sport of Cross Country at the high school level in the Rio Grande Valley (State of  Texas); to support the healthy development of youth; and to promote good sportsmanship in the sport of Cross Country. 

 

Article 3~Membership

 Section 1:  Regular membership shall be open to any head cross country coach or assistant cross country coach who is employed by any secondary public or private school who wishes to belong to the Rio Grande Valley Cross Country Coaches Association (RGVCCCA), and will commit to follow UIL    rules and guidelines for the sport of cross country.  

 ​Section 2: Associate membership shall be open to any person interested in promoting high school cross country. Associate members shall not have voting rights, nor shall they hold office in the association.  

 Section 3: Membership dues shall be paid on an annual basis and shall be considered as being from June 1st through May 31st of each year. Fees will consist of $20.00 for High School and Junior High Coaches. 

Article 4~Meetings  

 The Association shall hold its annual meetings on the first Monday of every month [August – January], and its annual meeting following the STATE  track Meets, at a time and a place to be designated by the President.

 

Article 5~Board of Directors and Officers  

 Section 1: The Officers of the Association shall consist of the President, Vice President, Secretary, Treasurer, UIL Liaison and two Public Relations Director, (2) 5A representatives, (1) 4A representative, (1) 3A, 2A, 1A, & private representative. 

 Section 2: The Board of Directors shall consist of the Officers mention above and the 4 Board Members listed at the end of the by-laws.  

 Section 3: The Association shall be governed by majority vote of the regular membership taken at any annual meeting or duly called meeting. Board Directors shall have the power to decide all budgetary matters and take any action on behalf of the Association; not inconsistent with the policies established by the regular membership. The President shall have the power and the responsibility to administer the affairs of the association in accordance with the policies established by the Board of Directors.  

 Section 4: The officers (President, Vice President, Secretary, Treasurer, UIL Liaison, and the Public Relation Directors) shall serve for 2 years. The election of Officers shall be held at the annual meeting in June. Their terms shall begin on the first Monday in June and end two years later on Election Day. The four Board members are in place until the dissolution of the organization.  

 Section 5: Prior to the election of Officers, the Board of Directors shall act as a nominating committee, and they shall propose at least one candidate for  each office and directorship from the regular members.  

 Section 6: Only regular members, who have paid their dues for the current year, shall be eligible to vote at an association’s meeting.  

 Section 7: The President shall be the Chief Executive Officer of the Association, and the president shall preside at all of the Association meetings and  Board of Director meetings.  

 Section 8: The Vice President shall succeed the President in the event of the President not being available or no longer able hold office.  

 Section 9: The secretary shall keep the minutes of the meetings of the Association and the Board of Directors; send notices of the meetings and of the  actions taken by the Board of Directors. The minutes shall be kept on file for the membership.  

 Section 10: The Treasurer shall collect and disburse funds on behalf of the Association; maintain accurate records of the funds of the Association;  maintain records of membership and payment of dues.   

 Section 11: The Public Relations Directors shall collect and send results of Cross Country meets to the newspapers and other means of  communications, and keep records on file of meet results.  

 Section 12: Vacancies in any office or directorship occurring between annual meetings shall be filled by a majority vote of the Board of Directors.  Section 13: Any Officer may be removed from office for cause upon vote of 2/3 majority of the Board of Directors or the regular membership.  

 Section 14: All Officers and Board members shall serve on the Rio Grande Valley Cross Country Coaches Association (RGVCCCA).  ​

 

Article 6~ Dissolution of the Organization  

 Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c) (3) of the  Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local  government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which  the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall  determine, which are organized and operated exclusively for such purposes.
